STANDARD TERMS AND CONDITIONS OF SALE

1. Introduction and Agreement

Welcome to Teknic. With over 18 years of manufacturing excellence and industry trust, Teknic remains committed to delivering robust machinery and long-term engineering partnerships.

These Terms and Conditions governing all sales, quotes, offers, and orders issued by Teknic. By accepting a quotation, placing an order, or entering into a transaction with the Seller, the Buyer explicitly agrees to be bound by the terms outlined below.

2. Acceptance of Orders

All sales, formal quotations, and purchase orders are strictly subject to final acceptance and written confirmation at the sole discretion of the Seller. The Seller reserves the right to decline any order or modify credit or supply terms prior to formal confirmation.

3. Electronic Authentication

This document, along with associated invoices, quotes, and order confirmations, is a computer-generated record. In compliance with applicable digital transaction standards, it carries full legal validity and does not require a physical signature to be binding upon both parties.

4. Return and Exchange Policy

All sales are final. Goods once sold are strictly non-returnable and non-refundable under any circumstances. The Buyer assumes full responsibility for verifying product specifications and suitability prior to confirming the purchase.

5. Limited Warranty on Electrical & Electronic Components

Electrical and electronic items are generally excluded from standard warranty or guarantee coverage. This exclusion applies to components including, but not limited to:

• Programmable Logic Controllers (PLCs)

• Human-Machine Interfaces (HMIs)

• Touch Screens

• Sensors and related electronic circuitry

Exception: In verified cases of genuine manufacturing defects, a Limited Warranty of six (6) months from the date of the invoice shall apply. This limited warranty is strictly subject to technical inspection and evaluation by the Seller, whose decision regarding the defect shall be final and binding.

6. Consumables and Imported Wear-and-Tear Components

High-wear, consumable, and imported components are strictly excluded from any warranty, guarantee, or replacement coverage. This exclusion explicitly covers items associated with the rotary cutter assembly and related machinery parts, including:

• Rubber belts and drive belts

• Cutters, blades, and slitting dies

• Acrylic safety covers and guards

• Variable Frequency Drives (VFDs)

7. Tooling and Setup Equipment Exclusions

The basic scope of machinery supply excludes operational fixtures and routine accessories. The procurement, cost, and maintenance of the following items remain the sole responsibility of the Buyer:

• Machine setting tools

• Operational fixtures and dies

• Routine setup accessories and auxiliary equipment

8. Installation and Commissioning Charges

The basic machine cost covers the equipment only. Charges for structural installation, technical testing, and final commissioning are billed separately. All such expenses, including site preparation and required utilities, shall be borne entirely under the Buyer’s scope and account.

9. Governing Law and Jurisdiction

This contract, its performance, and all underlying transactions shall be governed by and construed in accordance with the laws of India. All disputes, claims, or differences arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the competent courts in Khalapur, District Raigad, Maharashtra.
